Startup Attorney (Marketplace, Liability & Insurance Focus) – SwimSpace Inc.

**About Us:** Swim Space is a marketplace platform connecting pool owners, swim instructors, and families seeking swim lessons. We facilitate bookings, payments, and coordination across all parties, with a focus on safety, accessibility, and high\-quality instruction. We are currently building our legal and operational foundation and are seeking a contract attorney to advise on key legal structures as we scale. **Scope of Work:** We are looking for an attorney who can provide ongoing, flexible legal support in the following areas: 1\. Business Structure \& Corporate Formation: * Ownership, equity, and governance considerations * Preparation/review of operating agreements 2\. Marketplace \& Platform Legal Framework * Terms of service, platform agreements, and user policies * Independent contractor classification and compliance for instructors 3\. Liability \& Risk Management * Participant waivers and releases * Risk allocation between platform, hosts, and instructors * Safety standards and legal protections 4\. Insurance Strategy * Advising on platform\-level liability coverage * Structuring coverage across hosts and instructors (additional insureds, etc.) * Coordination with insurers and review of policy terms 5\. Contracts \& Agreements * Host agreements (pool owners) * Instructor agreements * Customer terms and booking policies **Ideal Candidate:** * Experience advising **startups and/or marketplace platforms** * Familiarity with **liability\-heavy businesses** (e.g., rentals, fitness, hospitality, Airbnb/Swimply\-type models) * Strong understanding of **insurance structures and risk allocation** * Experience drafting **clear, enforceable, and scalable agreements** * Ability to provide **practical, business\-oriented advice**, not just legal theory **Engagement Details:** * Contract / freelance role * Ongoing advisory relationship (not a one\-time project) * Flexible hours based on needs * Opportunities for more full time positions.
